The Client may accept a proposal by signing the proposal, replying to an email confirming acceptance, paying an invoice, paying a deposit, or instructing Boombox to commence work.
Any of these actions shall constitute acceptance of the proposal and these Terms & Conditions.
The Client agrees to pay all fees outlined within the proposal.
Any third-party costs, including but not limited to stock imagery, fonts, plugins, software licences, hosting, domain names, advertising costs, or other external services, will be charged separately unless otherwise stated.
Boombox reserves the right to charge interest and recover reasonable costs incurred in collecting overdue payments.
Where these Terms & Conditions refer to Boombox's standard hourly rate, this shall be £65 per hour unless otherwise agreed in writing.
Time charged at Boombox's standard hourly rate will be billed in 30-minute increments.
Boombox reserves the right to review and amend its standard hourly rate from time to time. The rate applicable to the project shall be the rate in effect at the time the additional work is requested.
Boombox reserves the right to suspend work where invoices remain unpaid, required information has not been provided, or the Client is otherwise preventing the project from progressing.
Any delays resulting from such suspension may affect delivery dates and project timelines.
We’ll do our best to keep your project moving according to the agreed timeline, but this depends on you providing any information, content, feedback, and approvals we need in a timely manner.
If we’re waiting on something from you for more than 14 days, we may place the project on hold until the required information is received.
If a project is inactive for more than 30 days due to Client delays, we may reschedule the remaining work based on our current availability. Any additional project management, administration, onboarding, or reactivation time required as a result of the delay will be charged at Boombox's standard hourly rate.
If a project remains inactive for more than 90 days, the remaining balance of the project will become immediately payable and the project may be considered closed. Any request to restart the project may require a new proposal, revised pricing, and updated timelines.
Reasonable project-related communication via email is included throughout the duration of the project.
The proposal includes project meetings reasonably required to deliver the agreed scope of work. Meetings are intended for project planning, progress updates, feedback, and approvals.
Additional meetings, workshops, consultation calls, stakeholder sessions, training, or strategy discussions requested by the Client that fall outside the reasonable requirements of the project will be charged at Boombox's standard hourly rate.
The project scope is defined by the services, deliverables, and requirements outlined in the proposal.
Any work requested outside of the agreed scope will be treated as additional work and may require a separate quotation. This includes, but is not limited to, additional pages, functionality, integrations, design concepts, content creation, revisions, or changes to previously approved work.
No additional work will be undertaken without Client approval.
Unless otherwise stated, proposals include up to two rounds of revisions at each stage of the project.
A revision is defined as a consolidated set of feedback submitted at one time.
Once a design, page, content item, deliverable, or project stage has been approved, any subsequent changes will be treated as additional work and may be charged accordingly.
Additional rounds of revisions beyond those included within the proposal will be charged at Boombox's standard hourly rate.
The Client agrees to appoint a primary point of contact for the project.
Boombox will accept instructions, approvals, feedback, and change requests from the nominated point of contact only.
The Client is responsible for gathering and consolidating feedback from all stakeholders before submitting it to Boombox.
Where conflicting, incomplete, repeated, or stakeholder-led feedback results in additional project time, Boombox reserves the right to charge for that additional time at its standard hourly rate.
The project fee covers only the services and deliverables outlined within the proposal.
Additional support, consultation, strategy, training, meetings, advice, troubleshooting, maintenance, or work requested outside of the agreed scope will be charged at Boombox's standard hourly rate.
Either party may terminate a project by providing written notice to the other party.
In the event of cancellation, the Client shall pay for all work completed, time incurred, and expenses committed up to the date of cancellation.
Any deposits or payments already made are non-refundable.
Upon receipt of full payment, ownership of all final approved deliverables produced specifically for the Client shall transfer to the Client.
Boombox retains ownership of all preliminary concepts, unused designs, working files, methodologies, processes, and intellectual property not included within the final approved deliverables.
Boombox retains the right to display and reference completed work in its portfolio, website, social media channels, marketing materials, awards submissions, and promotional activity for the purpose of showcasing its services.
Any confidential information provided by the Client will remain confidential and will not be disclosed without prior written consent.
Both parties agree to keep confidential information shared during the course of the project private and not disclose such information to any third party without prior written consent, unless required by law.
Boombox shall not be liable for any indirect, incidental, special, consequential, or loss of profit damages arising from the project or the use of any deliverables.
Boombox's total liability in relation to any claim shall not exceed the total fees paid by the Client for the project.
All proposals, quotations, concepts, presentations, strategy documents, documentation, and communications produced by Boombox remain the intellectual property of Boombox unless otherwise agreed in writing.
These materials are provided solely for the purpose of evaluating or delivering the project and may not be copied, reproduced, distributed, shared, or used without prior written consent from Boombox.
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
Any disputes arising in connection with these Terms & Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
